Retained services from £2.5K p/m plus 50% of commission rates (from 2 days per month)

Daily Rate @ £1500+VAT p/d

BRANDS SEEKING RIGHTSHOLDERS (FOR SPONSORSHIP/INVESTMENT/LICENSING):

Percentage commission of TOTAL/AGGREGATED sponsorship fee or investment value for the lifetime of the contract per above commission rates OR Finders Fee and/or Revenue Share as agreed and not less than commission values - Minimum contract value of £150K+VAT p/a

BRANDS SELLING PRODUCTS OR SERVICES TO RIGHTSHOLDERS:

Option 1: Retained Services from £3000+VAT per month plus Commission of TOTAL/AGGREGATED sale value for the lifetimes of the contract per above commission rates OR Revenue Share.

 

Option 2: from £5000+VAT per month plus success fee (determined by deal size).  No Commission or Revenue Share.

OTHER SERVICES (INCLUDING ACTIVATION)

From £3K - £10K+VAT per month (for 'soup to nuts' overhaul)

TERMS & CONDITIONS

​

FTBA Ltd, t/a RSX Sports, will issue invoices as follows:

• On signature of contracts between rightsholders and brands for lump sum commissions (sponsorship fees/investments/licence fees) and Finders Fees.

• On the 1st day of each month for monthly sales commissions/revenue shares for ongoing commercial agreements and for retained services provided.

Invoices must be settled within 7 days of the date of invoice unless otherwise agreed.​

Verbal, email and text agreements are binding.

Governing Law:

• All agreements will be governed by and construed in accordance with the laws of Scotland.

1.    Introduction

These Website Standard Terms And Conditions (these “Terms” or these “Website Standard Terms And Conditions”) contained herein on this webpage, shall govern your use of this website, including all pages within this website (collectively referred to herein below as this “Website”). Terms, FTBA Ltd, t/a RSX Sports and/or its licensors own all rights to the intellectual property and material contained in this Website, and all such rights are reserved.

You are granted a limited license only, subject to the restrictions provided in these Terms, for purposes of viewing the material contained on this Website,

You are expressly and emphatically restricted from all of the following:

1.    publishing any Website material in any media;
2.    selling, sublicensing and/or otherwise commercializing any Website material;
3.    publicly performing and/or showing any Website material;
4.    using this Website in any way that is, or may be, damaging to this Website;
5.    using this Website in any way that impacts user access to this Website;
 
6.    using this Website contrary to applicable laws and regulations, or in a way that causes, or may cause, harm to the Website, or to any person or business entity;
7.    engaging in any data mining, data harvesting, data extracting or any other similar activity in relation to this Website, or while using this Website;

Certain areas of this Website are restricted from access by you and FTBA Ltd, t/a RSX Sports may further restrict access by you to any areas of this Website, at any time, in its sole and absolute discretion. Any user ID and password you may have for this Website are confidential and you must maintain confidentiality of  such information.

4.   Membership

Membership of RSX Sports is restricted to sponsoring brands and businesses supplying products and services to the sports industry (rightsholders).  By becoming a member you are acknowledging that you are either a brand actively seeking to enter into sponsorship and commercial partnership agreements with our rightsholder clients or to commercially engage FTBA Ltd, t/a RSX Sports, to facilitate introductions with a view to sale of products or services.  Contacting of rightsholders directly upon membership, or sharing available assets, opportunities and client information is strictly prohibited.  By becoming a member you are committing to non-disclosure of any or all information in relation to our rightsholder clients, available assets and opportunities gained from the website or FTBA Ltd, t/a RSX Sports, directly.  Failure to comply will result in immediate suspension of membership and potential legal proceedings.  Suspicious activity by any member will result in immediate suspension of membership.  Examples of suspicious activity include, but are not restricted to:

1. Irregularly frequent logins to opportunities board within a limited period of time without attempt to engage with RSX Sports or respond to communications from RSX Sports.

2. Frequent logins to opportunities board followed by consistent cancelling of scheduled meetings or calls with RSX Sports.

3. Failure to communicate with RSX Sports

Access may be reinstated subject to terms set by RSX Sports, which may include payment of a one-off access fee of no less than £10,000+VAT and no more than 10% of sponsorship budget/potential asset value, which would be refunded to the member ONLY upon successful conclusion of at least one sponsorship or commercial partnership agreement and RSX Sports receiving all relevant commissions from our rightsholder client(s) in full.​​

5.    No warranties

This Website is provided “as is,” with all faults, and FTBA Ltd, t/a RSX Sports makes no express or implied representations or warranties, of any kind related to this Website or the materials contained on this Website. Additionally, nothing contained on this Website shall be construed as providing consult or advice to you.

6.    Limitation of liability

IIn no event shall FTBA Ltd, t/a RSX Sports, nor any of its officers, directors and employees, be liable to you for anything arising out of or in any way connected with your use of this Website, whether such liability is under contract, tort or otherwise, and FTBA Ltd, t/a RSX Sports, including its officers, directors and employees shall not be liable for any indirect, consequential or special liability arising out of or in any way related to your use of this Website.

7.    Indemnification
 
You hereby indemnify to the fullest extent FTBA Ltd, t/a RSX Sports from and against any and all liabilities, costs, demands, causes of action, damages and expenses (including reasonable attorney’s fees) arising out of or in any way related to your breach of any of the provisions of these Terms.

8.    Severability

If any provision of these Terms is found to be unenforceable or invalid under any applicable law, such unenforceability or invalidity shall not render these Terms unenforceable or invalid as a whole, and such provisions shall be deleted without affecting the remaining provisions herein.

9.    Variation of Terms

FTBA Ltd, t/a RSX Sports is permitted to revise these Terms at any time as it sees fit, and by using this Website you are expected to review such Terms on a regular basis to ensure you understand all terms and conditions governing use of this Website.

10.    Assignment

FTBA Ltd, t/a RSX Sports shall be permitted to assign, transfer, and subcontract its rights and/or obligations under these Terms without any notification or consent required. However, .you shall not be permitted to assign, transfer, or subcontract any of your rights and/or obligations under these Terms.

11.    Entire Agreement

These Terms, including any legal notices and disclaimers contained on this Website, constitute the entire agreement between FTBA Ltd, t/a RSX Sports and you in relation to your use of this Website, and supersede all prior agreements and understandings with respect to the same.

12.    Governing Law & Jurisdiction

These Terms will be governed by and construed in accordance with the laws of Scotland, and you submit to the non-exclusive jurisdiction of the courts located in Scotland for the resolution of any disputes.
